1. Acceptance of Terms

Welcome to Animate Image AI (the 'Company', 'we', 'us', or 'our'). These Terms of Service ('Terms') are a legally binding agreement governing your access to and use of animateimg.app and Animate Image AI (collectively, the 'Services').

By registering, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you must stop using the Services.

2. Eligibility and Global Access

The Services may be made available to users in multiple jurisdictions. By using the Services, you represent and warrant that:

1. You are at least 18 years old, or you are at least 13 years old (or the applicable digital age of consent in your jurisdiction) and use the Services with the consent and supervision of a parent or legal guardian.
2. Your use of the Services does not violate any applicable law, regulation, sanctions program, or restriction in your jurisdiction.

3. Accounts and Security

You may need to create an account to use certain features. You agree to provide accurate and complete information, keep your credentials secure, and promptly update your account information when necessary. You are responsible for all activities that occur under your account.

We may suspend or restrict access to your account if we reasonably suspect fraud, abuse, security incidents, or violations of these Terms.

4. Payments, Subscriptions, and Refunds

Certain features of the Services may require paid subscriptions, credits, or one-time purchases.

1. Payment Processing: Our order process is handled by our online reseller and Merchant of Record, Creem. When you subscribe or purchase credits, you are effectively transacting with Creem and may also be subject to their transaction terms and privacy policy.
2. Subscription Renewal: Unless otherwise stated, subscriptions renew automatically at the end of each billing cycle until canceled.
3. Cancellation: You may cancel your subscription at any time through your account settings or the billing portal, and cancellation will generally take effect at the end of the current billing period unless otherwise required by law.
4. Refund Policy:
   • General Rule: AI compute and processing costs are incurred immediately once paid usage begins, so generally all sales are final.
   • 3-Business-Day Money-Back Guarantee: We offer a refund for an initial purchase made within 3 business days of the transaction date, provided that you have not substantially used the Services (for example, used fewer than 5 paid outputs).
   • How to Request: To request a refund, please contact support@animateimg.app with your account details and order information.
   • Discretionary Refunds: For other cases, such as duplicate charges or material system errors, we may grant refunds or service credits at our discretion.
   • Response Time: We aim to respond to all refund and billing-related inquiries within 3 business days.
5. Taxes: Creem may automatically calculate and collect VAT, GST, sales tax, or similar taxes based on your location and applicable law.

5. User Content and Intellectual Property

5.1 Ownership

Subject to your compliance with these Terms and payment of any applicable fees, you retain the rights you own in the content, files, prompts, text, images, and other materials you upload, submit, or process through the Services, as well as outputs generated for you through the Services, to the extent permitted by applicable law and third-party provider terms.

5.2 License to Operate the Services

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, process, adapt, and display your content solely to the extent necessary to operate, secure, maintain, improve, back up, and provide the Services to you.

5.3 Our Intellectual Property

The Services, including our software, site design, branding elements, documentation, and related materials, are owned by us or our licensors and are protected by copyright, trademark, and other applicable intellectual property laws.

5.4 Copyright Complaints

If you believe content on the Services infringes your copyright or other intellectual property rights, please contact us at support@animateimg.app with sufficient detail for us to review the claim.

6. Acceptable Use

Your use of the Services is also subject to our published Acceptable Use Policy, which forms part of these Terms.

You agree not to use the Services to:

1. Violate any applicable law, regulation, or third-party rights.
2. Upload, submit, process, or distribute content that is unlawful, fraudulent, defamatory, harassing, hateful, infringing, or otherwise abusive.
3. Create or request face-swap, deepfake, impersonation, or other misleading identity-manipulation content.
4. Create or request sexually explicit, nude, pornographic, or otherwise NSFW content.
5. Misappropriate another person's identity, likeness, privacy rights, or confidential information.
6. Interfere with, disrupt, probe, reverse engineer, or attempt to gain unauthorized access to the Services, related systems, or other users' accounts.
7. Upload malware, run abusive automation, evade rate limits, or otherwise misuse infrastructure or APIs.
8. Use the Services in a manner prohibited by our published policies, service-specific rules, or applicable provider restrictions.

If we determine that you violated these Terms or abused the Services, we may throttle usage, remove content, suspend access, terminate accounts, or take other appropriate action.

7. Third-Party Services

The Services may depend on or interoperate with third-party providers, including providers for authentication, payments, hosting, storage, analytics, and communications. We are not responsible for third-party services themselves, and your use of those services may be governed by separate terms and privacy policies.

We may also provide our own workflow and user interface on top of selected third-party AI models. Animate Image AI is an independent product and is not affiliated with, endorsed by, or sponsored by those model providers unless explicitly stated otherwise.

8. Disclaimer

THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE'. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Services will be uninterrupted, error-free, secure, or suitable for your intended use, or that any output will be accurate, complete, or reliable.

9. Limitation of Liability

To the maximum extent permitted by law, we and our affiliates, licensors, suppliers, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or business opportunities arising from or related to the Services.

Our aggregate liability for all claims arising out of or related to the Services will not exceed the total amount you paid to us for the Services during the 12 months preceding the event giving rise to the claim.

10. Dispute Resolution and Governing Law

Please read this section carefully because it affects your legal rights.

Except where prohibited by applicable law or where a dispute may be brought in a qualified small claims court, you and Animate Image AI agree to resolve disputes arising out of or relating to these Terms or the Services through binding individual arbitration, and both parties waive the right to participate in a class action.

These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the Services, by email, or by other reasonable means. Your continued use of the Services after the revised Terms take effect constitutes your acceptance of the updated Terms.
